Terms of Service

Introduction
These Terms of Service ("Terms") govern your access to and use of the website at pinnaclesoftwarelabs.com and any services provided by Pinnacle Software Labs ("we," "us," "the Studio"). By using this site or engaging our services, you agree to these Terms.
These Terms are governed by the laws of Italy. All disputes will be resolved by the competent court of the registered seat in Italy (Ragusa/Modica, RG), except where EU consumer-protection mandatory rules grant you additional remedies before the courts of your place of habitual residence.
If you are a consumer based in the EU, nothing in these Terms affects your mandatory statutory rights, including rights under the EU Consumer Rights Directive (2011/83/EU) and applicable national consumer protection laws.
1. Definitions
- "Studio" means Pinnacle Software Labs, with registered address at Contrada Scorrione S. Rosalia, 34, 97015 Modica RG, Italy.
- "Client" means any person or entity that submits an inquiry or enters into an engagement with the Studio.
- "Services" means the software development, integration, automation, configuration, tooling, or support services described on this site and confirmed in a Statement of Work.
- "Statement of Work" (SOW) means the written document (email confirmation, proposal, or contract) that defines the specific scope, deliverables, timeline, and price for an engagement.
- "Deliverables" means the software, code, scripts, documentation, or other outputs specified in a Statement of Work.
- "Consumer" means a natural person acting for purposes outside their trade, business, craft, or profession, within the meaning of EU Directive 2011/83/EU and the Italian Consumer Code (Codice del Consumo, D.Lgs. 206/2005).
2. Services
The Studio provides custom software development and related technical services on a project basis. All engagements are initiated through the contact form on this site and are formalised in a Statement of Work that both parties agree to before work begins.
No engagement is binding on the Studio until we have issued and you have accepted a Statement of Work. Submission of the contact form does not create a contract. Quotes are not binding until confirmed in a signed or countersigned SOW.
3. Fixed-price commitments
Where an SOW specifies a fixed price, that price is our commitment for the scope described. We do not charge for overruns caused by underestimation on our part. However, any change in scope, feature set, or requirements requested by the Client after the SOW is agreed may result in a Change Order with revised pricing and timeline, which must be agreed in writing before additional work proceeds.
4. Payment
Payment terms, milestone schedule, and accepted payment methods are specified in the SOW. Typical fixed-price projects are invoiced in stages (e.g. deposit + milestone(s) + final delivery). Invoices are payable within the number of days stated in the SOW.
Late payments may accrue interest in accordance with applicable Italian commercial payment law (Legislative Decree 231/2002 implementing EU Directive 2011/7/EU). The Studio reserves the right to pause work on any engagement where an invoice is materially overdue after written notice.

5. Intellectual property
Upon full payment of all amounts due under an SOW, the Studio assigns to the Client full ownership of the Deliverables produced for that engagement, including all intellectual property rights in those Deliverables (to the extent such rights are assignable under applicable law).
The Studio retains ownership of its pre-existing IP, general methodologies, frameworks, and reusable components ("Background IP"). Where Deliverables incorporate Background IP, the Studio grants the Client a perpetual, royalty-free, non-exclusive licence to use that Background IP solely as incorporated in the Deliverables.
Where Deliverables incorporate open-source software components, the Client is responsible for complying with the applicable open-source licences. We will identify any material open-source dependencies in the SOW or delivery documentation.
6. Confidentiality
Each party agrees to keep the other party's confidential information (including project specifications, pricing, and business information) confidential and not to disclose it to third parties without consent, except as required by law.
The Studio offers an NDA on request — tick the relevant option in the contact form and we will send our standard mutual NDA prior to any discussion of confidential project details.
7. Warranties and liability
Deliverables warranty: The Studio warrants that Deliverables will materially conform to the specifications in the SOW for 30 days after delivery ("Warranty Period"). If a Deliverable does not conform, our sole obligation (and your sole remedy) during the Warranty Period is to correct the non-conformance at no additional charge. This warranty does not apply to issues caused by changes made by you or third parties after delivery.
No uptime guarantee: Unless an SOW explicitly includes hosting or managed-service terms, the Studio does not provide uptime or availability guarantees for any software delivered.
Limitation of liability: Subject to mandatory consumer protection laws and to the extent permitted by Italian law, the Studio's total aggregate liability for any claim arising from or related to an SOW is limited to the total fees paid by the Client under that SOW in the 12 months preceding the claim.
Exclusions: Neither party excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
Consumer rights: If you are a Consumer, the above limitations do not affect your statutory rights under the Italian Consumer Code (Codice del Consumo) or other applicable mandatory EU/Italian consumer protection law.
8. Acceptable use
You agree not to use this site or our Services to:
- Transmit unlawful, harmful, defamatory, or fraudulent content
- Attempt to gain unauthorised access to our systems
- Reverse-engineer, scrape, or harvest data from this site by automated means
- Request development of software intended to facilitate illegal activity
9. EU consumer rights and right of withdrawal
If you are a Consumer within the EU, you have certain statutory rights under Directive 2011/83/EU (as implemented in Italian law by the Codice del Consumo). Your right of withdrawal and our refund obligations are set out fully in our Refund Policy.
Online Dispute Resolution (ODR): The European Commission provides a platform for online dispute resolution for consumers at ec.europa.eu/consumers/odr/. Our contact address for ODR purposes is: legal@pinnaclesoftwarelabs.com.
We are not obliged to participate in alternative dispute resolution (ADR) with Consumers, but we will endeavour to resolve disputes amicably. If we cannot resolve a complaint directly, you may escalate to a recognised ADR body or the appropriate Italian consumer authority.
10. Changes to these Terms
We may update these Terms from time to time. We update the "Last updated" date when we do. Continued use of the site after a change constitutes acceptance. For active project engagements, the Terms in effect at the date of the SOW govern that engagement unless both parties agree to updated Terms in writing.
11. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of Italy.
Subject to the EU consumer law provisions in Section 9 and any mandatory rights that cannot be contractually overridden, any dispute shall be subject to the exclusive jurisdiction of the competent court of the registered seat in Italy (Ragusa/Modica, RG).
Where you are a Consumer, you may also bring proceedings in the courts of your place of habitual residence within the EU, and mandatory consumer protection laws of your country of residence apply regardless of any choice of law.
